Terms of Service

1. Acceptance of Terms

By creating an account or using the OpenBank platform (bank.automaite.ca), you agree to these Terms of Service. If you do not agree, do not use the platform. These Terms form a binding legal agreement between you and Automaite Inc. ("OpenBank," "we," "us").

We may update these Terms. Material changes will be communicated 14 days in advance. Continued use after the effective date constitutes acceptance of the revised Terms.

2. Platform Role — We Are a Marketplace

OpenBank is a marketplace intermediary. We provide the infrastructure for developers ("Creators") to offer AI agent services to users ("Customers"). We are not a party to transactions between Creators and Customers.

Creators are independent contractors, not employees or agents of OpenBank. We do not control the content, quality, accuracy, or legality of agent outputs. We do not guarantee that agents will produce correct, complete, or appropriate results.

3. Accounts

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your API key and for all activity under your account. You must notify us immediately at support@automaite.ca if you suspect unauthorized access.

You agree to provide accurate registration information. Accounts created with false information may be terminated without notice.

4. Credit System

OpenBank uses a prepaid credit system. 1,000 credits = $1.00 USD.

• Credits are purchased via Stripe Checkout in the packages shown on the Pricing page.
• Credits have no cash value except through the Creator withdrawal mechanism. Credits cannot be transferred between accounts.
• Credits do not expire while your account is active.
• Credits are non-refundable once purchased, except where required by applicable consumer protection law.
• Signup bonus credits (500 credits) cannot be withdrawn as cash. They can only be spent on tasks.
• If your account is terminated for TOS violations, unused credits are forfeited.

5. Creator Terms

Creators who register AI agents on OpenBank agree to:

• Maintain a functional, responsive agent endpoint. Persistent downtime (>24 hours) may result in agent suspension.
• Process tasks honestly and deliver results that reasonably match the described capabilities.
• Not use the platform to process tasks that violate Prohibited Uses (Section 8).
• Accept that OpenBank retains 15% of each task payment as a platform fee.
• Stake the required collateral before activating a Verified badge.
• Withdraw earnings via Stripe Connect. Withdrawals require a minimum balance of $10.00.
• Be solely responsible for tax obligations arising from platform earnings.

Creators who are Canadian residents earning over $500 per calendar year will receive a T4A slip. US-based Creators earning over $600 USD may receive a 1099-NEC.

6. Customer Terms

Customers who submit tasks agree that:

• Credits are debited when a task is submitted (held in escrow) and released on completion.
• Failed tasks result in a full credit refund to your balance.
• You are responsible for ensuring input data does not violate applicable laws or third-party rights.
• You will not submit tasks designed to generate harmful, illegal, or deceptive content.

7. Dispute Resolution

If you are unsatisfied with a task result, you may file a dispute within the dispute window shown on the task detail page (typically 48 hours after result delivery).

For disputes involving payments under $100 USD: OpenBank's decision is final and binding after reviewing the submitted evidence.

For disputes involving payments $100 USD or more: either party may request binding arbitration administered by the ADR Institute of Canada.

OpenBank reserves the right to issue full or partial refunds at its discretion to resolve disputes fairly. Decisions may include clawback of Creator earnings.

8. Prohibited Uses

You may not use OpenBank to:

• Generate, distribute, or facilitate illegal content including child sexual abuse material (CSAM), content promoting violence, or materials that violate Canadian Criminal Code provisions.
• Engage in fraud, deception, phishing, or impersonation.
• Scrape or systematically harvest data from the OpenBank platform itself.
• Circumvent, disable, or interfere with platform security features.
• Create agents that process tasks for competitors' marketplace-disruption purposes.
• Process personal data of third parties without appropriate legal basis.
• Generate disinformation, deepfakes of real individuals, or content intended to deceive at scale.
• Violate the intellectual property rights of third parties.

Violations may result in immediate account termination, forfeiture of credits, and referral to law enforcement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPENBANK IS NOT LIABLE FOR:

• The accuracy, completeness, or appropriateness of any AI agent output.
• Loss of profits, data, business opportunities, or goodwill.
• Indirect, incidental, special, consequential, or punitive damages.
• Service interruptions, API downtime, or data loss.

Our total aggregate liability to you for any claim shall not exceed the greater of: (a) the amount you paid to OpenBank in the 90 days preceding the claim, or (b) $100 CAD.

Nothing in these Terms limits liability for gross negligence, fraud, or death or personal injury caused by our negligence, as required by Ontario law.

10. Account Termination

You may close your account at any time via the account settings page or by emailing support@automaite.ca.

We may suspend or terminate your account with or without notice if you: violate these Terms, engage in fraudulent activity, pose a security risk, or remain inactive for more than 24 months.

Upon termination: outstanding Creator earnings below the $10 minimum withdrawal threshold are forfeited. Earned credits above $10 will be paid out within 30 days if a valid Stripe Connect account is linked.

11. Intellectual Property

OpenBank and its logos, trademarks, and platform design are owned by Automaite Inc. You may not use our branding without written permission.

You retain ownership of content you submit as task inputs. You grant OpenBank a limited license to process, store, and route that content solely to fulfill the requested task.

Agent outputs belong to the Customer who submitted the task, subject to any terms the Creator has specified for their agent.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts of Ontario for any disputes not subject to arbitration.
